To work with you on developing your business so that it reaches your objectives and long-term goals.
The preparation of financial statements on an annual basis for the calculation of your taxable income.
The preparation of GST returns and trading results on a regular monthly, two-monthly or six-monthly basis.
Completing your tax return from information provided by you.
Completing your FBT return from the information provided by you.
Xero setup and training
Responsibilities and Obligations
You will remain responsible for the accuracy and completeness of the information that you supply to us.
We will not perform an audit or review engagement and no assurance will be expressed. Our services cannot be relied upon to detect fraud or error in your organisation.
We will prepare the financial statements at your request with due professional care, for your purposes only and we will not be held liable for any loss, claim or demand by any third person. We will process the information in an effective and efficient manner.
We will respect the confidentiality of the information acquired in the course of our work.
We do not provide legal or financial advice. Any opinion expressed should be confirmed by the appropriate professional.
We will only accept responsibility for written tax advice signed by the principal, Sam Corbeau. Further, no responsibility will be accepted unless there has been full disclosure of the facts, in writing, from you. You agree that Corbeau Accounting Ltd’s professional indemnity liability is limited to the amount of your yearly accounting fee.
You agree not to bring any claim against any of our directors or employees in their personal capacity. To the maximum extent permitted by law, we are not liable to you for:
• indirect, special or consequential losses or damages of any kind; or
• liability arising due to the acts or omissions of any other person or circumstances outside our reasonable control, or your breach of these terms
Client Responsibilities
It is agreed that you will work with us and provide us with all reasonable and necessary assistance so that we can provide our Services to you.
This includes:
Providing us with accurate and complete information necessary to compile financial statements;
Information is to be given to us on a timely basis;
Updating any information where there has been a material change to the information, including telling us if any of your circumstances change during the course of the Services.
The responsibility for the accuracy and completeness of the financial statements remains with you;
Any failure to supply us with all relevant records and information remains with you;
Where we prepare any Inland Revenue returns on the client's behalf, you will still be responsible for meeting your IRD obligations.
If at any time you operate your business through a company, you undertake to maintain all statutory records for the period required by law.
Limitation of third party rights
Our advice and information is for your sole use, and we accept no responsibility to any third party, unless we have expressly agreed in the engagement letter that a specified third party may rely on our work.
Authority
You agree to link your tax records to Corbeau Accounting Ltd’s agency list at the Inland Revenue Department for all related entities and for us to make enquiries at the Inland Revenue Department from time to time regarding your tax affairs.
You authorise us to obtain from ACC and other relevant financial institutions any information necessary to assist with the compilation of your financial statements and tax return.
Personal Information / Privacy
We may collect personal information and other relevant information about you for the purposes of providing services to you. You authorise us to hold, use and disclose such information as is necessary to affect this purpose. We use cloud services to store your information and onboarding companies to collect your information and conduct AML checks. We agree to handle all personal information about you in accordance with the Privacy Act 2020. All personal information will be kept securely and confidentially.
Fees
Fees rendered by us are based on the value of time spent on each assignment. You accept that we will invoice for our services on completion of the assignment. Our invoices will be due for payment within 14 days of the invoice unless otherwise arranged in writing.
We receive discounts on Xero fees that we have subscribed to on your behalf. We may retain these discounts in lieu of handling fees.
In the event the IRD selects your enterprise for review or audit, any work required from us will be charged for based on the hours of work involved.
If payment of any fee is not received by the due date, we may charge interest on the balance outstanding after the due date, at a rate of 1.5% per calendar month or part thereof compounded from due date to date of actual payment.
If a client's debt is passed onto a third party for collection, the client will incur ALL associated costs, including debt collection process cancellation fees if incurred.
We may withdraw our services and decline to continue further work until the fee is paid in full or until we have agreed an acceptable repayment arrangement. Should services be withdrawn, we will not be held liable for any penalties or interest charged or accrued as a result of the late filing of tax returns or other documents during the period that services are withdrawn.
Termination
Either of us may terminate this Agreement:
at any time by giving the other written notice; or
immediately if the other becomes insolvent or otherwise ceases to carry on business or commits any material breach of this Agreement that is either incapable of being remedied
or is not remedied within 14 days of receipt of a notice requiring the breach to be remedied.
We may terminate this Agreement if:
you fail to meet your obligations under this Agreement, including to pay our Fees within the time specified or to provide us with adequate Information or instructions; or
there is a change of circumstances beyond our reasonable control that prevents us from providing the Services to you.
If this agreement is terminated, you agree to pay us the fees for any work we have done and any expenses we have incurred up to the date of termination.
Corbeau Accounting will have the right to keep possession of any work done for you to date, until full payment of the account has been received. When full payment has been received of outstanding fees, we will send the previous year's information that we have available to your new accountant on request.
Dispute Resolution
If you have a dispute with us or vice versa, we will endeavour to resolve these amicably. If we are unable to do this, the next step would be to resolve the dispute by arbitration.
Electronic Communication
Each of us agrees that we may communicate with each other electronically. You acknowledge that electronic transmissions are inherently insecure, can be corrupted or intercepted, may not be delivered and may contain viruses. Neither of us is responsible to the other for any loss suffered in connection with the use of e-mail as a form of communication between us. You consent to receiving such messages until such time as you notify us in writing that you no longer wish to receive them.
Confirmation
All services are provided subject to the terms of the engagement agreement signed by both parties. Any alterations to those terms will be confirmed in writing.
In case of any conflict between the website's terms of trade and the terms of the engagement agreement, the engagement agreement will prevail.
